These Terms of Service ("Terms") govern the agreement between you and PT Ledgerowl ("the Company") regarding your use of ledgreowl.com and the Ledgerowl bookkeeping and tax preparation service (together, the "Service"). By creating an account or using the Service you confirm that you have read and accepted these Terms. If you do not accept these Terms, do not use the Service. Nothing in these Terms limits your statutory rights under the laws of Indonesia or your country of residence.

1. The Service

Ledgerowl is an AI-assisted tool that reads your financial records -- bank transactions, receipts, and statements you provide -- categorizes each entry according to Indonesian bookkeeping and tax categories, and prepares draft PPh and PPN filing summaries for your review. The Service is a preparation and organization tool only. The Company does not file tax returns on your behalf. You remain solely responsible for reviewing all drafts, verifying their accuracy, and submitting filings to the relevant Indonesian tax authority (Direktorat Jenderal Pajak). You should consult a licensed tax professional or accountant for advice specific to your situation.

2. Agreement

These Terms govern your use of the Service operated by PT Ledgerowl, Jl. Jend. Sudirman Kav. 52-53, Level 18, Jakarta 12190, Indonesia. By using the Service you accept these Terms. Nothing in these Terms limits your statutory rights under the laws of your country of residence.

3. Use of the Service

• You must be of legal age in Indonesia (18 years or older) or have parental or guardian consent.
• You agree not to use the Service unlawfully, to interfere with its operation, or to attempt unauthorized access to any account or system component.
• You may not scrape, reverse-engineer, or copy the Service except as permitted by mandatory law.
• You agree to provide accurate information when creating your account and to keep that information current.
• Each account is for one business entity. You are responsible for all activity that occurs under your account credentials.

4. Intellectual Property

The Service, including its software, categorization logic, report templates, and all associated content, is owned by PT Ledgerowl or its licensors and is protected by Indonesian and international intellectual-property law. We grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose of managing your own business's bookkeeping and tax preparation. You may not sublicense, assign, or transfer this licence.

5. Your Financial Data

You retain ownership of the financial records and data you upload or connect to the Service. You grant the Company a limited licence to store, process, and analyze that data solely for the purpose of providing the Service to you -- categorizing your transactions, preparing filing drafts, and generating the reports you request. The Company does not use your financial data to train external models or share it with third parties for commercial purposes outside of operating the Service. You may export all your data at any time in CSV or PDF format. If you close your account, you may request deletion of your records subject to any statutory retention requirements.

6. Disclaimers

The Service is provided on an "as is" and "as available" basis. The Company disclaims all warranties to the maximum extent permitted by applicable Indonesian law, including warranties of merchantability, fitness for a particular purpose, and non-infringement. In particular, the Company does not warrant that the categorizations, filing drafts, or tax estimates produced by the Service are error-free or constitute professional tax or accounting advice. You are responsible for reviewing all outputs before acting on them. Mandatory consumer warranties applicable under the law of your residence are not affected by this disclaimer.

7. Limitation of Liability

To the maximum extent permitted by applicable Indonesian law, the Company's total liability for any claim arising from or related to the Service will not exceed the amount you paid for the Service in the three months preceding the claim, or the Indonesian Rupiah equivalent of USD 100, whichever is higher. The Company is not liable for indirect, incidental, special, or consequential losses, including lost profits or penalties arising from filing errors that you did not catch during your review of a draft. This limitation does not apply to liability that cannot be limited under mandatory law.

8. Indemnification

You agree to indemnify and hold harmless PT Ledgerowl and its officers, employees, and agents from any claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any third-party right.

9. Termination

Either party may terminate the agreement at any time. You may close your account through account settings or by contacting support. The Company may suspend or terminate your access immediately for material breach of these Terms, fraudulent use, or conduct that exposes the Company or other users to legal or reputational risk. Sections that by their nature should survive termination -- including intellectual property, disclaimers, limitation of liability, indemnification, and governing law -- will survive.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of Indonesia. Disputes arising from or related to these Terms or the Service are subject to the non-exclusive jurisdiction of the competent courts in Jakarta, Indonesia, without prejudice to mandatory consumer-protection rights under your country of residence.

11. Changes and Contact

We may update these Terms from time to time. Material changes will be posted with a new "Last updated" date and, for active subscribers, notified by email at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
